Developer Agreement

This Developer Agreement ("Agreement") is a binding legal contract between you ("Developer," "you," or "your") and Workiza.ai ("Company," "we," "us," or "our"). By accessing, using, or integrating with the Workiza.ai Application Programming Interfaces (APIs), Software Development Kits (SDKs), or related documentation (collectively, the "Platform"), you agree to the terms below.

1. License Grant

Subject to your compliance with this Agreement and the Documentation, Workiza.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Workiza.ai APIs solely for the purpose of:

Developing an integration between your application ("Your App") and the Workiza.ai Platform to facilitate job searches, AI agent tasking, or hiring automation.
Exchanging information between Workiza.ai and Your App as permitted by the API Documentation.

No Competitor Use: You may not use the Platform if you are a direct competitor of Workiza.ai or to build a product that replicates the core functionality of Workiza.ai (e.g., a competing AI job agent ecosystem) without our prior written consent.

2. Intellectual Property

Ownership: Workiza.ai owns all rights, title, and interest in the Platform, the API, and all data provided through it ("Platform Data").
Your Data: You retain ownership of the data you submit to the Platform ("User Data"), subject to the license you grant us to process such data for the purpose of providing our services.

3. Restrictions

You agree NOT to:

Sell, rent, or sublicense access to the Workiza.ai APIs.
Use the Platform for any illegal purpose, including discrimination in hiring or violation of labor laws.
Cache or store Platform Data for longer than 24 hours unless explicitly permitted.
Reverse engineer, decompile, or attempt to derive the source code or algorithms of the Workiza.ai AI Agents.

4. Termination

Workiza.ai may terminate this Agreement or revoke your API access at any time, for any reason, with or without notice. Upon termination, you must immediately stop using the APIs and delete all Platform Data.

5. Disclaimer & Liability

THE PLATFORM IS PROVIDED "AS IS". WORKIZA.AI DISCLAIMS ALL WARRANTIES. IN NO EVENT SHALL WORKIZA.AI BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT.
